Terms of Service

1. General information

The service provider is Ney Technologies LLC, a limited liability company organized under the laws of the State of Wyoming, United States of America. Shardy.bot is a brand of Ney Technologies LLC.

These Terms govern the use of Shardy.bot: the Discord bot, the management dashboard at shardy.bot and the paid plans. The service is available to individuals and businesses worldwide.

By using Shardy.bot, logging in to the dashboard, adding the bot to a server or buying a plan, you confirm that you have read and accept these Terms, the Privacy Policy, the Discord Terms of Service and the Discord Community Guidelines.

We may change these Terms. We will announce material changes in the dashboard or by email. Continuing to use the service after the changes means you accept them. Changes are not a reason to refuse payment for a billing period that has already started.

These Terms are written in English. Translations are provided for convenience only. If a translation differs from the English version, the English version prevails.

2. Account and access

You log in to the dashboard with your Discord account. You are responsible for the security of your account and for everything that happens after you log in.

You may configure the bot only on servers where you have the “Manage Server” permission or where you are the owner. We verify this using data provided by Discord.

You must meet the minimum age required by Discord in your country. If you use the service on behalf of a company, you confirm that you are authorized to represent it.

3. The Shardy.bot service

Shardy.bot provides a shared Discord bot whose appearance (nickname, avatar, banner, bio) and behavior (commands, modules, messages) you configure separately for each server in the dashboard.

You have full access to the bot configuration on your servers and you are fully responsible for the content, commands, messages, roles and moderation actions you set up, and for everything the bot does on your server based on your configuration.

All modules are prepared and reviewed by us. We may add, change and retire features, modules and plan limits, while making sure that paid features keep working until the end of the paid period.

The bot depends on Discord. We are not responsible for changes, restrictions or outages on Discord's side, including limits of its API.

4. Acceptable use

You may not use Shardy.bot, in particular the bot, the dashboard and messages sent by the bot, for:

• illegal activity, including fraud, phishing, distributing malware and harvesting data,
• violating the Discord Terms of Service and the Discord Community Guidelines,
• publishing or distributing prohibited content, including child sexual abuse material, terrorist content, incitement to violence, harassment and threats,
• spam, unsolicited mass messages, raids on other servers and mentioning large numbers of people without their consent,
• infringing copyright and other third party rights,
• impersonating other people, brands or official accounts, including Discord or Shardy.bot,
• attempting unauthorized access, security testing without our consent, bypassing limits and safeguards, and disrupting the service or other servers,
• scraping the dashboard, reselling the service and sharing access with third parties without our consent.

Ney Technologies LLC may immediately suspend or terminate the service for a server or for an entire account, without prior notice and without refund, if these rules are violated. We cooperate with law enforcement and Discord in matters involving suspected violations.

5. Payments and subscriptions

Paid plans (server Pro) are subscriptions paid in advance for each billing period. Prices are shown in US dollars (USD) on the website before purchase.

Payments are processed by Stripe. We do not store payment card details. The service is activated once the payment is confirmed.

A subscription renews automatically for the next period until you cancel it. You can cancel at any time in the dashboard (Account, Subscriptions or the Stripe billing portal). Your plan then stays active until the end of the paid period and will not renew.

Paid periods are not refunded on a pro rata basis when you cancel, change plans or stop using the service early, subject to the “Complaints and refunds” section and to consumer rights under mandatory law.

You are responsible for cancelling a subscription you do not want to continue. We do not refund renewal payments if the subscription was not cancelled before the renewal date.

6. Complaints and refunds

Send complaints to contact@neyhost.com within 7 days of the issue. Include your account email, the server ID and a description of the problem. We will review it within 14 business days.

A refund is possible when:

• the service was not activated within a reasonable time after payment for reasons attributable to us,
• we are unable to provide the service for reasons solely within our control.

Other situations, including cancellation, a change of mind, incorrect bot configuration, missing bot permissions on a server or dissatisfaction with how a feature works, do not entitle you to a refund unless the law applicable to you as a consumer provides otherwise.

In cases of abuse, such as chargebacks without a valid reason or false complaints, we may terminate all services, close the account, block further use of the service and report the case to the payment provider.

Nothing in these Terms excludes or limits consumer rights that cannot be excluded by contract, including rights under the laws of a consumer's country of residence in the European Union. By buying a plan, you agree that the digital service starts immediately after payment and you acknowledge that this may affect your right of withdrawal.

7. Personal data

We process personal data to the extent needed to provide the service, handle billing, prevent abuse and offer support. The details, including your rights, are described in the Privacy Policy.

8. Liability

The service is provided as is and as available. Ney Technologies LLC makes every effort to keep the bot and the dashboard stable, but does not guarantee any specific availability unless agreed in a separate contract.

Ney Technologies LLC is not responsible for:

• interruptions and delays caused by force majeure, hardware or software failures, DDoS attacks, connectivity problems or actions of third parties, including Discord,
• content and actions of users, server members and third parties,
• the consequences of a bot configuration set by the user, including assigned roles, moderation actions and sent messages,
• loss of data stored on Discord servers, including deleted channels, messages and roles,
• indirect damages, lost profits, loss of data and business interruption.

To the fullest extent permitted by law, our total liability is limited to the amount you paid in the 6 months before the claim was made. These limits do not apply to liability that cannot be excluded by law.

9. Termination

You may remove the bot from a server and stop using the service at any time. Removing the bot does not cancel your subscription, you need to do that in the dashboard.

We may stop providing the service if these Terms are violated, at the request of Discord or public authorities, or if we discontinue the service. We will announce a discontinuation in advance and refund a proportional amount for the unused paid period.

10. Governing law and disputes

These Terms are governed by the laws of the State of Wyoming and applicable United States federal law, excluding conflict of law rules.

Disputes are resolved by the state or federal courts with jurisdiction in Wyoming. This does not apply to consumers who, under the laws of their country of residence, have the right to bring claims before the courts of that country or to the protection of its mandatory provisions.

To the fullest extent permitted by law, disputes are resolved individually, without class actions or collective proceedings.
